Professional non-executive directors

Irrespective of BEPS requirements, once a Maltese company is set up or foreign company is registered in Malta, clients will want to make sure that the company is effectively managed and controlled in Malta.

Among the services offered, the directors are involved in company administration and management, have effective control over the company’s assets including the bank accounts (and therefore act as signatories), and can call and participate in the board meetings. They may also act as legal and judicial representatives and may also act as company secretary, although these are separate posts and may be fulfilled by different individuals.

The powers and duties of a director are laid down in The Companies Act and include the following:

  • Ensuring that the company follows statutory requirements laid down in The Companies Act, the Income Tax Act and the Income Tax Management Act, and various other legislative provisions;
  • Keeping proper accounting records and submit audited financial statements to the relevant authorities;
  • Ensure that minutes are taken, and the minute book updated with minutes of all meetings, resolutions etc.
